The person or entity (You) that completes and submits the above information hereby expressly agree to the following terms and conditions: 1.You are requesting the title transfer and registration services (Services) of EC Services Corporation (ECSC), a California corporation and a member of the escrow.com family of companies. 2.ECSC reserves the right to reject Your request for the Services for any reason or for no reason at all. 3.You, whether buyer or seller, independent of ECSC, have reached an agreement for the purchase and sale of one or more motor vehicles (Underlying Agreement). You expressly understand and agree that ECSC is not a party to or bound by any of the terms and conditions, or in any way liable for the obligations contained in the Underlying Agreement. 4. All amounts paid by You in connection with the Services must be paid in advance, in U.S. Dollars and made by wire transfer, check, cashier's check or money order. In the event Your payment is made by check, the Services shall not be commenced until Your check clears and ECSC has received good funds. 5. That fees paid to ECSC for the Services are non-refundable and are deemed earned by ECSC and are the property of ECSC upon receipt. Additional monies delivered to ECSC to be paid to third parties (e.g., the applicable governmental motor vehicle department) are also non-refundable to the extent paid to such third parties. 6. ECSC shall commence the Services upon ECSC's acceptance of this request and shall continue to perform the Services through completion, unless this Agreement is terminated by ECSC or You (whether buyer or seller). In this regard any such party may terminate this Agreement at any time and for any reason, with or without cause. 7. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS AND EXCLUSIONS SET FORTH IN THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, THOSE SET FORTH IN THIS SECTION 9 BELOW: (I) REPRESENT THE PARTIES AGREEMENT AS TO THE ALLOCATION OF RISK BETWEEN THE PARTIES (INCLUDING, WITHOUT LIMITATION, THE POSSIBILITY THAT A REMEDY MAY FAIL OF ITS ESSENTIAL PURPOSE AND CAUSE CONSEQUENTIAL LOSS); (II) REPRESENT THE FACT THAT ECSC WOULD NOT BE ABLE TO PROVIDE YOU WITH THE SERVICES AT THE AGREED UPON FEES; (III) REPRESENT THE FACT THAT ECSC WOULD HAVE BEEN UNWILLING TO ENTER INTO THIS AGREEMENT WITHOUT SUCH ALLOCATION OF RISK; AND (IV) ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. 8. THE SERVICES ARE PROVIDED TO YOU "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECSC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUALITY OR NON-INFRINGEMENT. 9. YOU AGREE THAT THE TERMINATION PROVISIONS OF PARAGRAPH 6 OF THIS AGREEMENT SHALL BE THE SOLE AND EXCLUSIVE REMEDY AVAILABLE TO YOU. YOU FURTHER AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECSC OF THEIR RESPECTIVE AFFILIATES, PARTNERS, OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, AGENTS, CONTRACTORS, REPRESENTATIVES, SUCCESSORS OR ASSIGNS, AS SUCH, (COLLECTIVELY, "REPRESENTATIVES") BE LIABLE TO YOU FOR ANY DIRECT OR INDIRECT DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING WITHOUT LIMITATION ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS OR INVESTMENT, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE, DUTY TO WARN AND STRICT LIABILITY) WARRANTY OR ANY OTHER LEGAL OR EQUITABLE GROUND, EVEN IF ECSC OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN HAS FAILED OF ITS ESSENTIAL PURPOSE. WITHOUT IN ANY WAY LIMITING THE LIMITATIONS OF LIABILITY ABOVE, IN NO EVENT SHALL ECSC OR ITS REPRESENTATIVES, ENTIRE CUMULATIVE LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT OF THE FEES PAID BY YOU UNDER THIS AGREEMENT. 10. ECSC may subcontract any or all of the Services, or assign any of its rights or delegate any of its obligations hereunder, at any time without Your prior consent; provided, however, that if ECSC subcontracts any of the services to be performed by it hereunder, each such subcontractor shall be qualified to perform the applicable services hereunder. Each such subcontractor shall comply with all of the requirements of this Agreement applicable to ECSC in respect of the services to be subcontracted. 11. This Agreement shall be construed in accordance with the laws of the State of California (excluding rules regarding conflicts of law) and the United States of America. In the event of any dispute the parties submit to the personal jurisdiction of and venue in the Superior Court of the State of California, County of Orange, or the United States District Court for the Central District of California, Southern Division. 12. This Agreement contains the entire agreement and understanding concerning the subject matter between ECSC and You and supersedes all prior negotiations, proposed agreements, and all other agreements, whether written or oral, except all prior confidentiality and non-disclosure agreements to the extent that they are not superseded by this Agreement. Except as provided herein, this Agreement may be amended only by a writing signed by ECSC. 13. In the event that it is determined by a court of competent jurisdiction as a part of a final non-appealable judgment that any provision of this Agreement (or part thereof) is invalid, illegal, or otherwise unenforceable, such provision will be enforced as nearly as possible in accordance with the stated intention of the parties, while the remainder of the Agreement will remain in full force and effect. 14. You, by submitting this request, hereby agree that You have read, understand, and agree to this request and that You are a natural person or persons of at least eighteen (18) years of age, and if You represent a corporation, limited liability company, partnership, trust or business entity of any type, then You have the authority to bind such entity.
